Interpretation

Words with an initial capitalized letter have meanings defined below. These definitions apply whether the terms appear in singular or plural form. 

Definitions

For the purposes of these Terms and Conditions: 

  • Affiliate means an entity that controls, is controlled by, or is under common control with a party, where “control” means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for election of directors or other managing authority. 
  • Company (referred to as “the Company,” “We,” “Us,” or “Our” in this Agreement) refers to PL Programs LLC, 516 1st Ave SE, Carmel, IN 46032. 
  • Country refers to Indiana, United States. 
  • Device means any device that can access the Service, such as a computer, cellphone, or digital tablet. 
  • Feedback means feedback, innovations, or suggestions sent by You regarding the attributes, performance, or features of our Service. 
  • Service refers to the Website and the SimpleDim software offered through it. 
  • Software refers to the SimpleDim PowerPoint plug-in, a tool for adding accurate scales, dimensions, and units to PowerPoint slides. 
  • Terms and Conditions (also referred to as “Terms”) mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service. 
  • Third-party Service means any services or content (including payment processing services) provided by a third party that may be used in connection with the Service. 
  • You means the individual accessing or using the Service, or the company or legal entity on behalf of which such individual is accessing or using the Service, as applicable. 

Acknowledgment 

These Terms and Conditions govern your use of the Service and the agreement between You and the Company. They outline your rights and obligations when accessing the Website and purchasing or using the SimpleDim Software. 

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service. 

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service. 

Your use of the Service is also subject to our Privacy Policy, which describes how we collect, use, and disclose your personal information and outlines your privacy rights. Please read our Privacy Policy carefully before using the Service. 

SimpleDim Software and Licensing 

Overview

The Service provides access to the SimpleDim Software, a PowerPoint plug-in designed to assist users in creating to-scale drawings by adding accurate scales, dimensions, and units to slides. We offer the Software under two licensing options: 

  1. Free Trial: A 30-day, no-cost trial is available upon providing a valid work email. The trial allows unlimited use across devices and users during the trial period. At the end of the trial, you will be prompted to purchase a full license. 
  1. Full License: A yearly subscription that includes use of the Software on up to 2 devices, along with maintenance and upgrades during the license term. 

Purchasing the Software

All purchases of the SimpleDim Software full license are processed through FastSpring, a third-party payment provider. By completing a purchase, you agree to FastSpring’s terms of service and payment policies, which govern the transaction process. The Company is not responsible for FastSpring’s payment processing, including any errors, delays, or disputes arising from their service. Upon successful payment, you will receive access to the Software under the terms of the full license. 

License Grant

Upon purchase or trial activation, we grant you a non-exclusive, non-transferable, revocable license to use the Software solely for your personal or business purposes, subject to these Terms. The trial license is limited to 30 days, while the full license extends for one year from the purchase date, renewable annually. You may not sublicense, distribute, or modify the Software without our prior written consent. 

Refund Policy

Our refund policy is detailed separately on the Website (see Refund Policy). In summary, no refunds are offered for full license purchases except in cases where the Software fails to install or experiences errors preventing core functionality, as reported within 7 days of purchase with evidence (e.g., screenshots or error messages). The free trial is provided to evaluate the Software prior to purchase, and no refunds or pro-rated credits are available outside the stated exception. 

Intellectual Property

The Service, including the SimpleDim Software and all original content, features, and functionality (excluding Feedback you provide), is the exclusive property of the Company and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent. 

Your Feedback to Us

You assign all rights, title, and interest in any Feedback you provide the Company regarding the Software or Service. If such assignment is ineffective, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and exploit such Feedback without restriction. 

Links to Other Websites

Our Service may contain links to third-party websites or services (e.g., FastSpring for payment processing) not owned or controlled by the Company. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of these third-party sites or services. You acknowledge that the Company is not liable for any damage or loss caused by your use of or reliance on such sites or services. We recommend reviewing the terms and privacy policies of any third-party websites you visit. 

Termination

We may terminate or suspend your access to the Service or Software, including your license, immediately and without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service and Software will cease. You may terminate your use of the Service by discontinuing access and uninstalling the Software. 

Limitation of Liability

To the maximum extent permitted by law, the Company and its suppliers’ total liability under these Terms is limited to the amount you paid for the Service, or $100 USD if you have not purchased a license. In no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages (e.g., loss of profits, data, or business interruption) arising from the use of or inability to use the Service or Software, even if advised of the possibility of such damages. Some jurisdictions may not allow these limitations, in which case they will apply to the fullest extent permitted by law. 

“AS IS” and “AS AVAILABLE” Disclaimer

The Service and Software are provided “AS IS” and “AS AVAILABLE,” with all faults and without warranties of any kind. The Company disclaims all implied warranties (e.g., merchantability, fitness for a particular purpose, or non-infringement) and makes no guarantee that the Service or Software will meet your requirements, operate without interruption, or be error-free. You use the Service and Software at your own risk. Some jurisdictions may not allow certain warranty exclusions, so these limitations will apply to the fullest extent enforceable. 

Governing Law

These Terms and your use of the Service are governed by the laws of Indiana, United States, excluding its conflict of law rules. Your use may also be subject to other local, state, national, or international laws.

For European Union (EU) Users

If you are an EU consumer, you may benefit from mandatory provisions of the law of your country of residence. 

United States Legal Compliance

You represent that you are not located in a country subject to a U.S. government embargo or designated as a “terrorist supporting” country, and you are not listed on any U.S. government list of prohibited or restricted parties. 

Severability and Waiver

Severability

If any provision of these Terms is unenforceable or invalid, it will be interpreted to achieve its objectives to the greatest extent possible, and the remaining provisions will remain in effect. 

Waiver

Failure to enforce a right or obligation under these Terms does not affect our ability to do so later, nor does a waiver of one breach waive subsequent breaches. 

Changes to These Terms and Conditions

We may modify these Terms at our discretion. For material changes, we will provide at least 30 days’ notice before they take effect, determined at our sole discretion. By continuing to use the Service after revisions, you agree to the updated Terms. If you disagree, please stop using the Service.
